Ms. Grant specializes in representing investment advisers, including organizing domestic and offshore private investment funds. She offers clients experienced and practical advice across all aspects of their legal needs, including contracts between fund organizers and investors such as seed and strategic investors, finders and placement agents, fund structuring and amendments, navigating state and federal investment adviser registration and ongoing compliance. She helps clients develop client and other agreement for non-traditional advisory arrangements, such as on-line advisory platforms, and provides regulatory and compliance advice for these advisory businesses.
In addition, Ms. Grant assists clients with buying and selling privately held businesses, license agreements, executive employment and bonus agreements, private placements and privacy and data breach requirements. She helps clients in negotiating and preparing the agreements between the owners of private businesses that are organized as limited liability companies and limited partnerships agreement.
