Michael Dell is a partner with extensive experience in corporate, commercial and intellectual property transactions.  He has considerable experience advising business clients on the structuring, negotiation and documentation of complex transactions, including mergers and acquisitions, equity financings, equity incentive arrangements, securities offerings, and business formation transactions for public and private clients.  He serves as counsel to companies in a number of sectors regarding general contractual, corporate governance and securities disclosure matters.  He also counsels, drafts and negotiates transactions and agreements involving a broad array of technologies.

He joined the Firm’s Corporate Department in 2013.  Prior to joining the Firm, he practiced as an associate at Gibson, Dunn & Crutcher.

Michael Dell has significant experience with buy-side and sell-side transactions, representing companies in mergers, sales and acquisitions, including drafting and negotiating merger agreements, asset and stock purchase agreements, and promissory notes. He also drafts and negotiates stockholders agreements, equity incentive plans, independent contractor agreements, operating agreements, subscription agreements, and corporate governance documents.

With respect to intellectual property transactions, he has experience counseling clients on license agreements, research and development agreements, software application agreements, master services agreements, confidentiality agreements, and terms of use.   He has worked across a variety of sectors, including technology, financial institutions, healthcare and retail.
