Jason Rabbitt-Tomita is a seasoned dealmaker who utilizes a wealth of technology and cross border experience to help clients see around corners to achieve excellent outcomes in M&A and other corporate transactions.

In a career spanning more than 20 years, Jason has advised some of the world’s most prominent companies in high stakes acquisitions, divestitures, joint ventures and other corporate matters. Jason has advised on transactions having an aggregate deal value of $100 billion.

Jason previously served as a partner at several AmLaw 50 law firms. Most recently, he served as Head of M&A Legal at Broadcom Inc.

Jason has extensive cross-border experience, including more than six years spent practicing at American law firms in Japan and Singapore.

Experience

Jason’s experience includes handling significant transactions for some of the technology industry’s most notable players. Representative transactions include the following (items marked with an * reflect experience at a previous employer):

  • Sale of its VeloCloud SD-WAN product portfolio to Arista Networks, Inc.
  • Sale of its End-User Computing Business (Omnissa) to KKR
  • $37 billion sale to Avago Technologies Limited
  • Sale of its Ethernet controller-related assets and non-exclusive IP licenses to QLogic Corporation

  • Acquisition of Habana Labs Ltd., an Israel-based developer of programmable deep learning accelerators for the data center
  • Acquisition of Nervana Systems, Inc., an AI/deep learning software company

  • Acquisition of AWR Corporation, a high-frequency RF and electronic design software company, from National Instruments Corporation
  • Acquisition of Jasper Design Automation Inc., a provider of formal analysis and verification software tools

  • Sale for more than $9 billion of a portion of its stake in Alibaba in the $25 billion Alibaba IPO (then the largest IPO in history)
  • $7.6 billion sale in 2012 of a portion of its stake in Alibaba (then the largest e-commerce M&A transaction and largest M&A deal between a U.S. and a Chinese company)
  • Agreements with Alibaba, Softbank Corp. and Alipay.com Co., Ltd. regarding the $4 billion restructuring of the Alibaba Group’s Alipay business (China’s largest online payment system, now called Ant Financial)

 

  • NAND flash memory joint venture with Toshiba Corporation
  • $16 billion sale to Western Digital Corporation

  • Modern Times Group MTG AB, a Swedish video game company, in the sale of Kongregate, Inc., an online gaming platform and video game publisher, to Monumental Studios, Inc., a Texas-based video game company, with MTG receiving a 30% stake in the new, combined entity*
  • CapGemini, a French consulting, technology and outsourcing services company, in its acquisition of the commercial cybersecurity division of Leidos, a provider of IT services to the U.S. government*
  • Aixtron, Inc., a German semiconductor company, in the sale of its ALD/CVD memory product line to Eugene Technology, Inc., a Korean semiconductor company*
  • RPX Corporation, a patent risk management company, in its $900 million acquisition of patents from Rockstar Consortium LLC (an entity formed in 2011 by Apple, Blackberry, Ericsson, Microsoft and Sony to purchase patent assets from the Nortel bankruptcy estate)*
  • Nokia Corporation in the $7.2 billion sale of its devices and services business to Microsoft Corporation*
