Mr. Caldwell joined the Firm in 2000 and is a member in the Firm’s Corporate Department. He specializes in advising investment advisers and private investment funds, negotiating credit facilities and other commercial financing transactions and providing general corporate and business counseling. Mr. Caldwell’s services include:
Investment Advisers. Counseling investment advisers concerning compliance with federal and state laws and regulations, assisting them with ongoing compliance matters and advising them on general business matters, including mergers and acquisitions and employment matters.
Private Investment Funds. Structuring and forming real estate investment funds, hedge funds, venture capital funds and other alternative investment funds and advising their managers concerning regulatory compliance.
Commercial Financing. Representing lenders and borrowers in negotiating and documenting secured and unsecured credit facilities and other debt financings.
Corporate and Business Counseling. Counseling clients concerning entity formation, consulting and employment arrangements, protection of trade secrets, private securities offerings and venture capital investments.
