Jeff has more than 30 years of experience working on complex transactional matters and has helped his clients fluently navigate today’s ever changing business climate to achieve their strategic objectives. Jeff’s work includes myriad complicated transactions in corporate finance, mergers and acquisitions, securities, intellectual property, real estate and related areas of the law that businesses face through their lifecycle.

Experience

  • Advised a premier canned-seafood company in connection with its $190 million acquisition by a private equity buyer.
  • Successfully completed the acquisition of a home products company on behalf of a competitor in a $30 million merger.
  • Counselled a biotech company in connection with a “de-SPAC” merger valued at $175 million, including in connection with the combination with a Special Purpose Acquisition Company (SPAC) and the related SEC filings.
  • Advised a producer of industrial machine tools with operations in California and South Korea in connection with its acquisition by a private equity buyer for $45 million.

  • Acted as outside general counsel to numerous early stage companies, including a leading manufacturer of high-end modular homes, where he successfully negotiated a series of preferred stock and convertible note financings, strategic partnership and supply agreements and a significant restructuring of its capitalization.

  • Acted as a trusted advisor to and successfully completed the acquisitions of home services companies by private equity buyers in transactions totaling more than $150 million in value.
