Carol Wang’s practice is focused on the tax and structuring aspects of acquisitions, dispositions, reorganizations and private fund formations.

Carol Wang advises clients on the tax and structuring aspects of mergers and acquisitions, private investment fund formations and restructurings, and real estate joint ventures. She represents fund sponsors in every aspect of their business, as well as real estate developers and capital partners in tax matters involving joint venture transactions and counsels institutional investors on their participation in private funds.

Prior to joining the firm, Carol served as a Legislation Counsel at the Joint Committee on Taxation and as a partner at Kirkland & Ellis LLP.

  • Represented a publicly traded company for tax matters in private M&A transactions, with transaction sizes ranging from $60 million to $600 million

  • Represented real estate developer in $34 million real estate joint venture

  • Represented private equity investment funds in formations of funds ranging from $100 million to $10 billion in commitments, including $450 million China-focused venture fund for Hong Kong based sponsor, $4 billion tech-focused buyout fund raised by SF based sponsor, $1.8 billion inaugural data infrastructure fund raised by SF-based sponsor
  • Advised on structuring of two-tier GP minority stake transactions with preferred equity and common investors
  • Advise on taxable and tax-free transactions for GP-led continuation funds
  • Represented various hedge fund sponsors in their reorganizations of fund vehicles
  • Represented sovereign wealth funds and tax-exempt investors relating to their investments in fund of funds, private equity, and private credit funds
